Terms of Service

These Terms of Service (the “Terms”) are a contract between you and Vibiz Inc. (“Vibiz”, “we”, “us”). They govern your use of vibiz.ai, the Vibiz application, the Vibiz API and MCP server, the Vibiz analytics SDK, and every related service (together, the “Service”).

By creating an account or using the Service you accept these Terms, our Privacy Policy and our Refund Policy. If you use the Service on behalf of a company, you confirm that you are authorised to bind that company, and “you” means the company.

The Service is built for businesses and professionals. You must be at least 18 years old to use it.

• You are responsible for the credentials you use to sign in, for every action taken in your workspaces, and for the people you invite as team members.
• Keep your account information accurate. We send billing, security and service notices to the email address on your account.
• Each workspace you create is a separate business profile with its own connected accounts, content and history. Deleting a workspace permanently removes its content, scheduled posts and settings.
• Tell us straight away at support@vibiz.ai if you believe your account has been accessed without your permission.

Vibiz is an AI marketing workspace. Depending on your plan it lets you import or build a brand profile, generate images, videos, copy and social posts, build websites and funnels, publish to connected social accounts, launch and manage paid ads, run an inbox and outreach, and work with an AI agent that can act inside your workspace on your instruction.

We improve the Service continuously. Features may be added, changed, labelled as beta, or removed. Beta features are provided for evaluation, may be incomplete, and may be withdrawn at any time.

• Paid plans are billed in advance through Stripe on a monthly or annual cycle and renew automatically until you cancel.
• Plans include a monthly allowance of credits. Credits are consumed when you generate images, videos and other AI output, and the cost of each action is shown before you run it. Unused allowance credits do not carry over unless your plan says otherwise.
• You can buy additional credit packs. Credits have no cash value, cannot be transferred between accounts, and are not refundable except as described in our Refund Policy.
• When a generation fails on our side, the credits for that attempt are returned to your balance. If that has not happened, contact support@vibiz.ai with the workspace and the time of the attempt and we will put it right.
• Paid ads launched through Vibiz are funded separately. The ad budget you set, and any Vibiz service fee on it, are shown to you before a campaign goes live and are charged in addition to your plan.
• Prices may change. We will give you at least 30 days notice before a change affects a renewal, and you may cancel before the new price applies.
• Prices exclude taxes unless stated. You are responsible for any taxes that apply to your purchase.

You can cancel a subscription at any time from your workspace settings. Cancellation takes effect at the end of the current billing period and you keep access until then. Refunds are handled as described in our Refund Policy.

To publish content and run ads, you connect accounts such as Meta (Facebook and Instagram), TikTok, LinkedIn, X, YouTube, Pinterest, Google, Shopify and others. When you connect an account you authorise Vibiz and its publishing partners to act on it on your behalf, within the permissions you grant.

• Each platform has its own terms and advertising policies. You are responsible for complying with them, including rules on special ad categories, political and financial advertising, transparency declarations and age restrictions.
• Platforms may reject, pause or remove content and ads at their discretion. Vibiz cannot guarantee that a post will be published or that an ad will be approved, delivered or perform in any particular way.
• Ad accounts, pages and the audiences and campaigns in them belong to you. We may decline or pause a launch that we reasonably believe would breach a platform policy or the law.
• You can disconnect an account at any time. Disconnecting stops future publishing but does not remove content that has already been published.

• You keep ownership of everything you upload or enter: logos, product images, videos, copy, business information and prompts (“Inputs”).
• You grant Vibiz a worldwide, non-exclusive licence to host, process, adapt and transmit your Inputs and the resulting output solely to provide the Service to you, including sending them to the AI model providers and platforms you use through Vibiz.
• Subject to these Terms and to the extent permitted by law, you own the images, videos, copy and other output the Service generates for you (“Output”). Similar or identical Output may be generated for other customers; we do not promise that Output is unique.
• You are responsible for having the rights to your Inputs, including the right to use any logo, product, brand, music, or the likeness of any person that appears in them, and for the way you use the Output.
• AI output can be wrong, incomplete or unsuitable. Review everything before you publish it or spend money on it. You, not Vibiz, are responsible for the claims your content makes.
• We do not use your Inputs or Output to train our own AI models. See our Privacy Policy for how AI providers process your content.

If you sell through a website or funnel built with Vibiz, you are the merchant for those sales. You are responsible for your products, prices, fulfilment, customer service, refunds to your customers, and for complying with consumer, privacy and tax laws that apply to your business. Vibiz processes the personal data of your visitors and customers on your behalf as described in our Privacy Policy.

You agree not to use the Service to:

• Break the law, or create or promote content that is deceptive, defamatory, harassing, hateful, sexually explicit, or that infringes intellectual property or privacy rights.
• Send spam, run scams, or run campaigns that a platform or regulator would treat as misleading advertising.
• Upload malware, probe or overload our systems, or try to access other customers’ workspaces or data.
• Scrape, copy, reverse engineer or resell the Service, or use it to build a competing product, except where the law allows.
• Use the Vibiz API, MCP server or SDK in a way that exceeds the limits we publish or circumvents plan restrictions.

We may remove content, pause publishing or ad launches, or suspend an account that breaches this section.

The Service relies on third-party AI models and infrastructure to generate content, understand your business and run your requests. Your prompts and assets are sent to those providers under our contracts with them. The providers we use, and how they handle your data, are listed in our Privacy Policy.

Vibiz and its licensors own the Service, including its software, design, templates, models, documentation and the Vibiz name and logo. These Terms do not give you any right to use the Vibiz brand or to copy the Service. Feedback you give us may be used without obligation to you.

• You can delete a workspace or your account at any time. Deletion is permanent and cannot be undone by us.
• We may suspend or terminate your access if you breach these Terms, if your payment fails and is not resolved, if required by law, or if a platform partner requires it.
• On termination your right to use the Service ends, scheduled posts and campaigns managed through Vibiz stop, and we delete or anonymise your workspace data as described in our Privacy Policy. Sections 7, 11, 13, 14, 15 and 16 survive termination.

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, Vibiz disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that Output will be accurate or fit for your purpose, or that any campaign, post or website will achieve a particular result.

To the fullest extent permitted by law, Vibiz will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service, even if we were advised of the possibility. Our total liability for all claims relating to the Service in any 12-month period is limited to the amount you paid Vibiz for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law.

You will defend and indemnify Vibiz against claims, losses and costs (including reasonable legal fees) arising from your Inputs, your Output, your products and services, your ads and posts, or your breach of these Terms or of a platform’s policies.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. If you are a consumer in a jurisdiction whose law gives you additional protections, those protections still apply.

We may update these Terms as the Service evolves. If a change is material we will notify you by email or in the app at least 14 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
